Terms of Use

1. Acceptance of Terms

By accessing or using dpra.in (the "Site"), creating an account, browsing products, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms of Use ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must immediately discontinue using the Site. D.PRA reserves the right to modify these Terms at any time. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms.

These Terms are published in compliance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the provisions of the Consumer Protection (E-Commerce) Rules, 2020.

2. Eligibility

Use of the Site and purchase of products is available only to persons who can enter into legally binding contracts under the Indian Contract Act, 1872. Accordingly:

• You must be at least 18 years of age to independently use this Site and make purchases.
• Minors (persons below 18 years) may use the Site only with the involvement, supervision, and consent of a parent or legal guardian, who will be responsible for all transactions and compliance with these Terms.
• You must not be barred from receiving services under the laws of India or other applicable jurisdictions.
• If you are registering or transacting on behalf of a legal entity (company, partnership, etc.), you represent that you have the authority to bind that entity to these Terms.

3. Account

To access certain features of the Site (order history, wishlist, saved addresses), you may create a D.PRA account. When you do:

• You must provide accurate, current, and complete information during registration and keep it updated.
• You are solely responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account.
• You must notify us immediately at care@dpra.in if you suspect any unauthorised use of your account or any other breach of security.
• D.PRA will not be liable for any loss or damage arising from your failure to comply with these account security obligations.
• Each person may maintain only one active account. Creating multiple accounts to abuse promotions, referral credits, or return policies is strictly prohibited.
• D.PRA reserves the right to disable or terminate any account that violates these Terms, including fraudulent accounts.

4. Products & Pricing

D.PRA offers fashion apparel and accessories through the Site. Regarding products and pricing:

• All product descriptions, images, and specifications are provided in good faith and are as accurate as reasonably possible. Minor variations in colour may occur due to screen display settings.
• Prices displayed on the Site are in Indian Rupees (INR) and are inclusive of applicable taxes (GST) unless otherwise stated.
• D.PRA reserves the right to change product prices at any time without prior notice. The price applicable to your order will be the price displayed at the time you place your order, subject to verification.
• In the event of a pricing error (typographical or system error), D.PRA reserves the right to cancel affected orders and issue a full refund. We will notify you promptly in such cases.
• All products sold on D.PRA comply with the Legal Metrology (Packaged Commodities) Rules, 2011, including MRP declarations where applicable.
• Promotional offers, discounts, and coupon codes are subject to their specific terms and validity periods, and may be withdrawn or modified at D.PRA's discretion.

5. Orders & Payment

Placing an order on D.PRA constitutes an offer to purchase the selected product(s) at the displayed price. The contract of sale is formed only upon our confirmation of the order (via email or SMS).

• Order Acceptance: We reserve the right to accept or reject any order for reasons including but not limited to product unavailability, pricing errors, payment failure, or suspected fraud.
• Payment Methods: We accept UPI, net banking, debit/credit cards (Visa, Mastercard, RuPay), and Cash on Delivery (COD) where available. All online payments are processed through PCI-DSS compliant payment gateways.
• Payment Security: D.PRA does not store your full card or bank account details. All payment data is handled by our third-party payment processors in accordance with applicable RBI and PCI-DSS guidelines.
• COD Orders: Cash on Delivery is subject to availability based on your pin code and order value. COD charges, if any, will be displayed at checkout.
• Failed Payments: If a payment fails after the amount has been debited from your account, the amount will be automatically refunded to your source account within 5–7 business days. Please contact your bank if it takes longer.
• GST Invoice: A GST-compliant tax invoice will be issued for every order and emailed to your registered email address.

6. Shipping & Delivery

D.PRA ships across India through its logistics partners. The following terms apply to shipping and delivery:

• Delivery Timelines: Estimated delivery dates are provided at checkout and are indicative, not guaranteed. Delivery timelines may be affected by factors beyond our control (weather, strikes, public holidays, remote pin codes).
• Shipping Charges: Shipping charges, if any, are displayed at checkout before payment. Orders above a minimum cart value (as displayed on the Site) qualify for free shipping.
• Delivery Address: You are responsible for providing an accurate and complete delivery address. D.PRA will not be liable for non-delivery due to an incorrect or incomplete address provided by you.
• Title & Risk: Risk of loss and title for products purchased from D.PRA passes to you upon delivery of the product to the address specified in your order.
• Non-Delivery: If a product is not delivered within the estimated timeframe, please contact us at care@dpra.in or via the "Track Order" feature on the Site.
• International Shipping: Currently, D.PRA ships only within India. We do not offer international shipping at this time.

7. Returns & Refunds

Your satisfaction is important to us. D.PRA maintains a transparent returns and refunds policy in accordance with the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020.

Key points:

• Returns must be initiated within the return window specified for each product category.
• Products must be returned in their original condition with tags intact and original packaging.
• Refunds are processed to the original payment method within 5–7 business days of the returned product being received and inspected.
• Certain product categories (e.g., innerwear, customised items) are not eligible for returns on hygiene or customisation grounds — these are clearly marked on the product page.
• D.PRA reserves the right to reject returns that do not meet the return eligibility criteria.

8. Intellectual Property

All content on the Site — including but not limited to the D.PRA brand name, logo, trade dress, product designs, text, graphics, photographs, videos, software, and the overall "look and feel" — is the exclusive property of D. PRA Ventures Private Limited or its licensors, and is protected under applicable intellectual property laws including the Trade Marks Act, 1999, the Copyright Act, 1957, and the Designs Act, 2000.

• You may access and use the Site for personal, non-commercial purposes only.
• You may not reproduce, copy, modify, distribute, transmit, display, publish, sell, license, or create derivative works from any D.PRA content without our express prior written consent.
• The use of D.PRA's trademarks, logos, or brand identity in any manner that implies endorsement, affiliation, or sponsorship without our written permission is strictly prohibited.
• User-submitted content (reviews, photos) remains your property, but by submitting it you grant D.PRA a non-exclusive, royalty-free, worldwide licence to use, reproduce, and display such content in connection with our products and marketing.

9. Prohibited Conduct

As a condition of your use of the Site, you agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable Indian or international law or regulation.
• Engage in fraudulent activities, including placing orders with no intention to pay, or submitting false return/refund claims.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Use automated tools (bots, scrapers, crawlers) to access, copy, or monitor any portion of the Site without our prior written consent.
• Attempt to gain unauthorised access to any part of the Site, its servers, or any database connected to the Site.
• Introduce any virus, malware, Trojan horse, or other harmful code to the Site.
• Transmit unsolicited commercial communications (spam) to other users or to D.PRA.
• Post or transmit any content that is defamatory, obscene, pornographic, abusive, threatening, or harassing.
• Interfere with the proper functioning of the Site or the networks connected to it.
• Circumvent or attempt to circumvent any security or authentication features of the Site.

Violation of these provisions may result in immediate account termination and may expose you to civil and/or criminal liability under the IT Act, 2000 and other applicable laws.

10. Limitation of Liability

To the maximum extent permitted by applicable law, D. PRA Ventures Private Limited, its directors, officers, employees, affiliates, agents, and licensors shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Site.
• Loss of profits, revenue, data, or goodwill arising from your use of the Site or purchase of products.
• Damages arising from unauthorised access to or alteration of your transmissions or data, despite reasonable security measures.
• Damages arising from force majeure events including natural disasters, pandemics, government actions, or other circumstances beyond our reasonable control.

In no event shall D.PRA's aggregate liability to you exceed the total amount paid by you for the specific product(s) giving rise to the claim.

11. Governing Law

These Terms of Use and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of India.

Subject to the Dispute Resolution clause below, you agree that the courts of Uttar Pradesh, India shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or your use of the Site.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to transactions on this Site.

12. Dispute Resolution

D.PRA is committed to resolving customer concerns fairly and efficiently. In the event of a dispute:

1. Informal Resolution (Step 1): Contact our customer support at care@dpra.in. We will endeavour to resolve your concern within 15 business days.
2. Escalation to Grievance Officer (Step 2): If your concern is not resolved at Step 1, you may escalate to our Grievance Officer (Mrs. Vandana Dwivedi, Director – D. PRA VENTURES PRIVATE LIMITED, care@dpra.in). The Grievance Officer will acknowledge your complaint within 48 hours and resolve it within 30 days, in accordance with the Consumer Protection (E-Commerce) Rules, 2020.
3. Consumer Forum (Step 3): If still unresolved, you may approach the appropriate Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019 or the National Consumer Helpline (1800-11-4000).
4. Arbitration (Step 4): For disputes exceeding ₹10,00,000 (Ten Lakh Rupees) or as mutually agreed, the dispute may be referred to binding arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Uttar Pradesh, India, and proceedings shall be conducted in English.

13. Changes to Terms

D.PRA reserves the right to revise and update these Terms of Use at any time in our sole discretion. All changes are effective immediately upon posting to the Site and apply to all access and use of the Site thereafter.

We will make reasonable efforts to notify you of material changes via email (to your registered email address) or by displaying a prominent notice on the Site. However, it is your responsibility to review these Terms periodically.

Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes.
